This User Agreement (hereinafter referred to as the "Agreement") constitutes a legally binding agreement between you (hereinafter referred to as "you" or "User") and the providers of the Colorby application (hereinafter referred to as "we," "us," or "our") regarding your download, installation, registration, login, and use (collectively, "use") of the Colorby application (hereinafter referred to as "Colorby"). This Agreement also incorporates any other policies or agreements related to Colorby that we may publish now or in the future.
Please read this Agreement carefully before using Colorby. By accessing or using Colorby, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, you must not use Colorby.
1.1 We provide access to Colorby only through our official website or authorized app marketplaces. You must download and use Colorby exclusively through these official channels. We do not guarantee the performance or safety of any unofficial versions, and we disclaim all liability for any losses arising from such use.
1.2 We provide only the software and services within Colorby. You are responsible for obtaining your own device, such as a smartphone or computer, and internet connection. You are also responsible for any associated charges, such as data fees or network usage costs.
1.3 We grant you a personal, revocable, non-transferable, non-exclusive, non-commercial license to legally use Colorby. All rights not expressly granted herein are reserved by us.
1.4 To improve our services and ensure compliance, we may update, modify, suspend, or discontinue part or all of the features of Colorby at any time without prior notice.
2.1 You agree to use Colorby only for lawful, personal, non-commercial purposes. You are solely responsible for any consequences resulting from your violation of this Agreement.
2.2 You must comply with the terms and policies of the app store where you downloaded Colorby, such as the Apple App Store or Google Play Store.
2.3 You must register and log in with accurate, truthful, and lawful personal information.
2.4 You are responsible for keeping your account credentials secure and for all activities conducted through your account. We are not liable for any losses resulting from your failure to safeguard your login information.
2.5 Your account is for your personal use only. You may not transfer, lend, assign, rent, sell, or authorize others to use your account. If we reasonably believe your account is being used by someone else, we may suspend or terminate access without prior notice.
2.6 You must not engage in any activity that could harm the security or functionality of Colorby, including scanning, probing, bypassing security measures, or exploiting system vulnerabilities.
2.7 You may not distribute, copy, republish, resell, or make Colorby available through any third-party platforms, networks, or devices not owned by you.
2.8 If we reasonably believe that you have violated or may violate any of the above terms, we may suspend or terminate your access to Colorby without prior notice and pursue any legal remedies available under applicable laws.
3.1 You acknowledge and agree that we own all rights, title, and interest in and to Colorby and its related intellectual property, including but not limited to software, code, designs, graphics, data, files, and any content generated within Colorby.
3.2 You represent and warrant that you have the necessary rights or licenses to use any content or data processed through Colorby, including but not limited to copyrights and trademarks. You are solely responsible for any legal consequences arising from your use, processing, or distribution of such content.
3.3 You agree not to register or assist any third party in registering any trademarks, domain names, copyrights, or other intellectual property rights related to Colorby, nor engage in any activities that could damage our reputation or legal interests.
4.1 We do not warrant that Colorby will be available at all times, error-free, or uninterrupted. To the fullest extent permitted by law, we disclaim all liability for any losses, damages, or risks arising from your use of Colorby, even if foreseeable or previously advised.
4.2 In the event of force majeure, including but not limited to governmental actions, network outages, cyberattacks, or natural disasters, we will make reasonable efforts to maintain the service. However, we are not liable for any resulting loss or disruption.
4.3 We are not responsible for verifying or evaluating the accuracy, legality, or suitability of any content or materials you provide while using Colorby.
4.4 We are not responsible for any third-party content or services outside of our control.
5.1 This Agreement shall be governed by, and construed in accordance with, the laws of the Republic of Singapore, without regard to its conflict of laws principles.
5.2 In the event of any dispute, the dispute shall be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC Rules) for the time being in force, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be Singapore. The arbitral tribunal shall consist of three arbitrators. The language of the arbitration shall be English.
